Win2000

I have rebuilt a pc and in doing so the password to win
2000 in not known. I want to upgrade to xp but the pc
will not recognize the xp cd. I have changed the bootup
in the setup menu but it still does not boot to the xp
disk. How can I either access win 2000 without a
password or reinstall the os with xp?
