Upgrading to Win2K with Exchange Server

We have an existing NT 4 domain (2 Servers, PDC, BDC). The BDC is running Exchange 5.5 - We are installing a new Win 2K server and wish to move Exchange to it and remove existing NT Exchange Server from network.

What is the best approach
