system will not shut down or reboot

This is a fresh load and I have loaded SP4 and all
recomended updates. When I try to shutdown or reboot the
box goes into Standby. When I try to go to Standby it
locks up. I have ran diags on the box and have no
hardware problems but I can't figure this out.
