how to get list of all open ports in a w2k environment?

Open from where? LAN, or Internet? For the latter, just put in a good
firewall and be done with it. If you mean internally, what's your goal? Are
you on a network using file/print sharing, etc?

For a one time, command line based list, "netstat -an" is good. For a gui
display that updates automatically, I use Active Ports
<http://www.ntutility.com/freeware.html> or Port Explorer
<http://www.diamondcs.com.au/portexplorer/index.php?page=home>, both free.
