PC doesn't shut down

My PC (Athlon 1.2, 512 ram) doesn't shut down when
you use the 'Turn Off Computer' command in the start
menu. It begins the shut down then hangs at the blue
'computer is now shutting down' screen - and stays
there forever unless manually shut down.

When I reinstall Win XP Pro SP2, I can manage a couple
of successful shutdowns with this fresh Win install, then
the PC goes back to hang mode. I have to shut down by
depressing the power button.

What's the solution?
