No you shouldn't. But you have to trick W2K into looking for your hardware
all over again. Google the subject and you'll find sites that explain it
clearly. IIRC, you boot with the old MB and go into recovery mode. When it
asks to reboot, you swap MBs and then W2K will find all your new hardware.
Be sure you have drivers if they're not already in the inf folder.

Normally, and assuming a retail license (many OEM installations and
licenses are not transferable to a new motherboard - check yours before
starting), unless the new motherboard is virtually identical to the old
one (same chipset, IDE controllers, etc), you'll most likely need to
perform a repair (a.k.a. in-place upgrade) installation, at the very
least (and don't forget to reinstall any service packs and subsequent
hot fixes):
