Network adapters don't work after XP Pro Upgrade

Hello, this is my first post to these usenet groups. I am a computer
support tech. for a small local company and have used these groups
often for answers when I get stuck. I haven't found any help on this
issue though.

I have a Dell Latitude C800 Laptop that had a working copy of Windows
2000 Pro installed and it was great. I upgraded from 256mb RAM to 521
and installed a Windows XP Pro Upgrade. The upgrade seemed to go
smoothly. There were no error messages at all. I got to a desktop and
checked Device Manager to see how many drivers I would need to load and
everything was loaded, except the network devices. There is a 3Com
Mini-pci NIC and a Firewire net adapter listed under Network Adapters.
Both of them show a yellow circle with an exclamation mark indicating a
problem. I open them and they both say the same thing:

"The device is not working properly because windows cannot load the
drivers required for this device. (Code 31)"

There are no other indications of a problem. I tried reinstalling the
drivers using the drivers available from the Dell website. The
installation goes as normal until the end and when I get back to the
properties page for the adapter it says the same thing. It will copy
all of the driver files into the system folders, but the device still
says that Windows can't load the drivers.

I have discovered that this happens with ANY network devices. I tried
a Linksys wireless usb adapter (to see if it was just the integrated
devices that weren't responding) and I got the same result. I have
also noticed that the Firewall will not start, and I can't install AVG
anti-virus. The installation almost completes, but says that the
installer couldn't start one of the services. I also noticed in the
Services mmc that the IPSEC policy is in the "starting" state, and
never actually starts. There are other services that will be
"starting" or "stopping" for much longer than I'd think they should be.
If you need any more info, let me know and I'll post it. Thanks in
advance for the help. I'll need it on this one.

Things I have tried:
Re-installing drivers for network adapters (using both Microsoft
integrated drivers and the drivers downloaded from Dell's website)
Running a repair install on Windows XP Pro. (made no difference)
Installing an Anti-Virus (AVG wouldn't install because it could not
start the necessary services to finish installation)
Repairing TCP/IP (we could remove it, but could not re-install it
because the network card drivers would not load)
Installing an external network adapter (Installed a Linksys USB
wireless adapter using the Linksys provided drivers with the same
result as the Integrated 3Com NIC and Firewire net adapter)
I have also tried disabling all non-Microsoft services and all
applications from the "msconfig" utility and even disabling some of the
Microsoft services that would not start or stop (screen shot of one is
included) (Currently all services and applications are loading at
startup)

You should install the motherboard chipset drivers. These drivers may help in
fixing access to those devices. However, since it is a Dell laptop, I am not
sure if the standard one from the chipset makers (like Intel, VIA, ALi or
NVidia) work work. Just make sure that you try the ones that match the
chipset make.

I don't think it's a driver issue. I have tried non-integrated devices
and get the same result. There is something preventing the network
drivers from loading. It is related to some network service that isn't
starting properly, but I don't know what exactly I'm looking for.
Thanks for the input though, I'll try it when I get back.

I finally ended up just reformatting and installing XP. It was a very
strange issue, and it would be interesting to find out what may have
caused it, but at any rate, the problem is fixed now.
