Install failure

When upgrading to XP pro from WinME I get the message " A
problem has been detected and windows has been shut down
to prevent damage to your computer.
Technical info:
Stop:0x0000006B
(0xc000003A,0x00000002,0x00000000,0x00000000)

After restarting setup I get tthe same message.

Can you help please?
