Excel 2000 won't start with XP

I replaced Windows ME with Xp. Now Excell locks when
trying to open. It says its sending an error message
which inludes a file " c:\docume~1\karlen~1\locals~1
\wer30.tmp.dir00\appcompat.txt.

It won't start in safe mode either

problem. Any solutions?
