1. Can I upgrade from Win 98 (non-second edition) to Win XP?

2. Do I have to install win98 prior to install win xp or it is ok if I just
put the cd in when prompted?

Yes from win 98

It's your choice if you want a clean install then you have
to have the 98 cd.... NOT a restore disk.

Yes, as long as the upgrade sees the existing installation this is fine.
What you cannot do in most cases is use the product recovery disks to
qualify for a clean installation. The system must exist on the hard drive.

2. Do I have to install win98 prior to install win xp or it is ok if I just
put the cd in when prompted?

If it's a generic OEM CD, then just inserting the disk for the check should
be sufficient. As mentioned previously, a product recovery disk probably
will not work (they are in a proprietary image format and will not be
recognized by the upgrade disk).

Greetings --

It is possible to perform a clean installation using an Upgrade
CD.

Simply boot from the WinXP Upgrade CD. You'll be offered the
opportunity to delete, create, and format partitions as part of the
installation process. The Upgrade CD checks to see if a qualifying OS
is installed, and, if it finds none, it asks you to insert the
installation media (CD) of that OS. Unfortunately, an OEM
"Recovery/Restore" CD will not work for this purpose; you must have a
true installation CD, complete with the "\Win98" folder and *.cab
files, or the "\i386" folder of WinNT/2K.

Alternatively, or especially if all you have is an OEM Recovery CD
for the earlier OS, you can even start the upgrade from within the
current Win98/Me/NT/2K installation, and still elect to perform a
clean installation, to include formatting the drive. In this case,
there's no further request for the qualifying OS's installation CD,
because the installation routing "remembers" that you started from
within the qualifying OS. This process is more time-consuming, but
you get the same results: a clean installation of WinXP.

Yes. Provided you have adequate hardware: I would want more than the
suggested 128MB, preferably 256, and a CPU at 400MHz or more as a
start. Read Gary Woodruff's article on upgrading to XP at

In the first instance I would run the XP CD from the Win98 system and do
an upgrade. that effectively replaces the whole system (so does not
have the 'brings forward troubles') and retains installed software
(though you should have data backed up, just in case)

If you do want to 'clean install' then you can either boot the XP CD to
setup, making sure you delete the old partition and make a new one -
that will then want to be shown a *retail* Win98 CD; or you can do it
from the current install, changing the Upgrade to New install, and when
it asks where hit ESC to again delete and recreate - you would have to
do it that way if all you have is a 'restore' Win98 CD
