XP Home SP2 -> XP Pro Upgrage

I'm wanting to upgrade my XP Home edition (SP2) to my XP Pro via upgrade CD
(not SP2). However, it tells me that because the version on my PC now is
newer than on the CD, I will lose my files & settings. If I go ahead, will I
*realy* lose my files? Settings I can deal with, but files... nooooo.

I can't do i re-install, as it's a laptop, and I'll loose all the drivers
etc, which are impossable to replace! I do have a more up-to-date version of
XP pro upgrade, which my dad used. Am I allowed to use the same CD for both
PC's, based on the fact that I have 2 lisences? I think the answers no, but I
can but ask!

If you have a CD burner you can download the SP2 upgrade and merge it with
the XP Pro CD and then burn a 'new' XP Pro w/SP2 CD. The process is called
slipstreaming. A Google search will give you instructions on slipstreaming.
I used a program called AutoStream to do it on my software. Go here for
AutoStream: http://www.neowin.net/forum/index.php?showforum=89
