windows xp upgrade

I cannot install xp. It hangs up at the 47 minute mark
with an error 127. Microsoft says to rename system32
catroot file, however, windows me will not let me change
the name. Any suggestions.

Yes. Insert the XP CD. Fformat your hard drive. And install XP clean.
