Windows fails to boot

I am having a problem starting up my comp. I turn on the
comp, I see BIOS, then I see the winxp logo screen for a
couple of seconds, and then my screen goes blank/black.
I have already tried to do a repair installation of
windows multiple times to no avail. When i try to boot
into safe mode, it freezes after agp440.sys. I tried
disabling that service and booting up, and that too has
failed. any help would be greatly appreciated.
