Win2k Installation won't finish

I am installing WIN2k on a HD formatted with NTFS. I have
an Upgraded version (full version but requires previous
windows CD also to install )

During installation in copies the files asks for name,
company name, ID key, seting timezone, then starts to
configure. It reaches COM+ reconfiguring and reboots.
starting whole installation process over again.

MB is Intel Pentium 4, 2.4GHz 800c, Bios is most recent
version. 1Gig Micron Ram. 450Watt Power Supply

Added note: Its a Intel D865Pearl Motherboard if that
helps finding a solution any.

Is it booting up to your CD again automatically? That could be the problem;
try removing the CD after setup is complete, or disable booting to the CD
from the BIOS setup.
