Win 2000 upgrade from Win 98 Problem

When attempting to run the Win 2000 upgrade, I get the
following error:

"Option to upgrade will not be available at this time
because Setup was unable to load
E:\I386|Win9xupg\w95upg.dll.

A device is attached to the system is not functioning."


There are no non-functioning devices in Device Manager.

Any Advice!!

Might indicate a corrupt file on the CD or a CD in need of cleaning.
