Found out the Win XP Pro(OEM) dosn't support upgrading the Win 2000
Pro(OEM).
Will the Win XP-Upgrade do it ???

You'll need to purchase a "Retail Upgrade Version" of
Windows XP Professional in order to upgrade over an
existing Windows 2000 installation. OEM versions of
Windows XP must be installed on reformatted drive
partition.

The retail upgrade AND full versions will, but none of the OEM versions
will.

That's right. OEM disks are intended to be installed on new systems -
or at least onto a disk that does not already have an OS on it. OEM
disks will not upgrade existing systems.

Yes. So will a full retail XP disk, but it will cost quite a bit more.
The upgrade disk is what you need.

Yes - a retail XP Pro Upgrade disk is needed. OEM copies do not do
upgrades
