Upgrading 98SE to XP Home Edition - Memory Problems

I have a Dell Inspiron P3 450MHz with 64MB and want to get
to XP. I've bought a 256MB modulke but it doesn't want to
work with 98SE as it throws up VxD and HIMEN issues.
I';ve been advised to do the upgrade to XP on 64MB then
add inthe 256MB as XP apparantly manges memory upgardes
much better than 98SE. I also want to re-format the hard
disk first as I want to start afresh. I've got all data
backed up on CD!
Any thoughts please?

You have to ensure your previous RAM is compatible
with the new RAM. And that it's compatible with
your motherboard.
