98SE upgrade to XP

I have HP win98se and want to upgrade to WinXP with SP2. The old 98se did not
come with a Windows 98 CD. It came with a System Recovery CD and Appliction
Recovery CD. I have performed a System Recover on it to clean it up and get
rid of all the added software. I had ,over time, upgraded it from Win98 to
W98se. I found a website with free download of the win98se key from the
microsoft.com support site: ,'www.belard.com/freedownload.htm', I also have
all the cabs on a CD following the upgrade to 98se.
1. Is there a way to totally clean(wipe clean) the C: drive and then
install my new Windows XP from CD that came with my new computer?
2. or will I have to do an upgrade. I have read and heard so many horror
stories about the problems that occur when trying to upgrade.
3 Can you direct me to a website with instructions of how to perform
upgrade with minimal problems or hopefully none at all?

Thank you Carey, I got over to the General Discussion and found lots of
info on the subject including a very heated argument b etween 2 MVP's. Never
the less, I think I haves an idee of how to, also with what you gave me.

No. The Windows XP that came installed with your new computer is
permanently locked to that computer and cannot be legitimately
transferred to another computer under any circumstances.

Also the license and product key for any single computer version of
Windows XP are limited to being used on a single computer at any given
time so if you have the Windows XP installed on the new computer you
cannot use that same product key on another computer.

Don't believe them. Upgrades can and very often do go well, and
Windows XP is pretty well the best version of Windows yet in terms of
upgrading.

However in order to do an upgrade you will need to purchase a Retail
Upgrade version of Windows XP. OEM versions, which are what come
bundled with new computers, will not do an upgrade install.
