Windows 98 OEM Qualify for XP Upgrade?

I'm building a new PC to replace an old PC. The old PC is a DELL which
came with Windows 98SE installed. The Windows 98SE CD that came with
the computer is an OEM CD.

I want to install Windows XP Home on the new computer. The old
computer will be retired.

Can I get the Upgrade version of Windows XP Home, and use the Win98SE
CD as qualifying media for the upgrade, even though the Win98SE CD is
labeled "OEM"?

Does the OEM CD have the "\Win98" folder on it? If so, you should be able
to point the XP installer to that folder and have it find the files needed
for verification.

If it is an OEM installation CD for Windows 98 then it will work okay.

However if it is a "System Recovery" CD then it will not work.

Greetings --

Not legitimately. The Win98 OEM CD is _permanently_ bound to its
original PC, and cannot be legally transferred to the new PC to act as
a qualifying OS for the upgrade.
