upgrade install

I cannot complete the upgrade from ME to XP Home. The
error log at the end lists several rc=32 and error=32
errors. It then instists on rebooting and looping. Any
ideas?
 
What is the exact error message? What was on the machine before upgrading?
Did you have any blocking issues/
