upgrade from XP home to XP prof.

I have XP prof. installed on one machine (I bought the disc retail) and I want to use it to upgrade the XP home (OEM) that came with another computer I just bought

What happens if I don't uninstall the XP prof. from computer #1 before I use it to upgrade computer #2

Understand that I own both machines and they are both for private, home use.

Doing this will void the warranty and support you have for your new OEM
machine.

You will be in violation of the ms eula. The second install may not
activate, making you call ms and tell them what your doing. If you don't
lie, they will deny you activation. If you lie and say xp was removed from
the first computer they most likely will activate you.
Understand that I own both machines and they are both for private,
home use.

Private, home use does not matter to ms. If you want to follow the eula then
you have to buy another copy/license for the second computer. If you don't
want to follow the eula then do what you want.

Not only that. Each XP software kit (OEM, Retail -- full or upgrade) only
allows the license to be used on ONE PC at a time. OEM license can not be
transferred to another PC.
