unable to upgrade to window XP

I (Window ME)tried to upgrade to Window XP; however after
few processes when it comes to "installation window" the
error message showed up as follow:
Error:
Installation Failed: N:\I386|asms. Error Message: The
parameter is incorrect.
Fatal Error:
One of the components that Window needs to continue setup
could not be installed the parameter is incorrect.
Someone please help me if you know what is going on!
