svc host application error

I get this message on close down and this pc has recovered from a serious
error on boot, what gives?
I have done a complete reinstall/format and my machine is as clean as a
whistle

xp home
nvidia tnt2 64
AMD 1.25 ghz
30gb hd
microsoft antispy
sp2
1gb ddram
Panda av titanium

Turn off the antispy scan and update, and see if it errors.
