standby and hibernate issue XP SP 2 1GB RAM

Hello,

I get the following message after the machince turns itself on after
going into hibernate or Standby. I've made sure the network card
doesn't allow automatic wakeups.

insufficient system resources exist to complete the api

Please let me know if you can think of something.
