SP1 Installation Fails with "Access Denied"

Trying to install SP1 on a new copy of Windows XP. Goes
through most of the install and then displays an "Access
Denied" message and rolls back the install. I have tried
both the online version and the SP1a version with the
same results. The Windows XP is a totally legal
microsoft product in original packaging. Suggestions?
