problem in opening *.xls file

Sir,
a file *.xls , downloaded from internet is not opening in
microsoft excel.error message is:
*.xls can not be accessed.the file may be read only or you
may be trying to access a read only location.
file can be opened in word pad but it's not clear to read.
waiting for kind reply

In Windows Explorer, right click the file icon, and choose
"Properties". Ensure that the Read-Only checkbox is clear.
