How do I fix this? XP Upgrade Error Message

WINNT32 CAUSED AN INVALID PAGE FAULT IN MODULE
KERNEL32.DLL AT 015F:BFF7B9E6.

This error message is received when trying to upgrade
from Windows 98 (not SE) to XP. Upgrade will not
install. HELP !!!

Check the upgrade.txt file and remove any known software problems from the
machine. Upgrade the machine BIOS if needed, and make sure that all third
party services are shut down.
