W98 upgrade - WINNT32 IFP in KERNEL32.DLL

Trying to upgrade Win98 SE to WinXP Pro.
Fails during system compatibility check with "WINNT32
caused an invalid page fault in module KERNEL32.DLL at
016f:bff7b9f5"
Get exactly the same error with standalone upgrade
advisor that I downloaded from MS.
Logs created during setup don't seem to leave any clues.
Nothing in KB311442 is the cause, and this is not the
same error as in KB252725 (although that is for Win2K) as
Quickbooks has never been on system.
I've tried everthing! Uninstalling software, changing
hardware, Safe mode, copying CD locally etc. Help!!

Thanks for the rapid response.
I had already read most of the info pointed to by that
page, with no success. Tried a few more things since,
still no joy.
Hoping for specific ideas on this particular error, as
opposed to general setup troubleshooting.
Trying, obviously, to avoid a phone call to MS :)
