Yes - have your Qualifying Upgrade Media (CD from Windows 9x/2000) ready..
Boot from the Windows XP CD.. Continue through like you were installing
clean (including deleting the partitions, creating new one(s) and formatting
them) and when it asks for the qualifying media - insert the proper CD.

Yes, if you have a Windows 95/98/Me CD [or floppies in the case of 95 and
98] that are not installed on a computer.
