BSOD errors; file copy errors; everything under the sun

I recently bought new components to put together ASROCK P4MV800, Celeron D
Processor 2.66 ghz, 1GB DDR DIMM RAM 3200, DVDRWDL, SATA 80GB Seagate
Barracuda harddrive. I put the components together and have been unable to
load winxp onto the computer from clean install (upgrade version) and have
only been able to install win98se. That works fine. I have run the microsoft
memory diagnostic check and the memory looked ok from the first pass. The
processor came with the good old thermal grease already applied to the
heatsink, thinking this might be the problem i bought a new tube. the
processor isn't overheating either, it stays at around 53c, the maximum is
70c. Everything works fine, i used the sata as non-raid but had to reformat
it to FAT32 to get 98 on instead of NTFS.

My problem is that everytime i go through the setup process - clean install
(and load the appropriate RAID driver) windows setup fails to copy files.
This is very random and varies each time i try to install it. Sometimes it
comes up with the message "the file setup placed on your hard drive is not a
valid system image" or "setup cannot copy the following file". Whenever it is
not doing this it comes up with the BSOD saying "your computer has been shut
down to prevent damage". it offers various stop errors such as 0x0a and 0x0e
too. These change randomly too. When i upgrade from win98se the setup bombs
out after managing to copy the files suggesting my bought genuine windows cd
is not the problem. It restarts and loads into the less good looking setup
bit and bombs out. Im almost through with this, what the hell is wrong!?
please help if you can

I've already run the windows memory diagnostic tool, the first pass tests
said the memory was perfect, no errors. I can't think why that would be the
problem as it runs wind98 (strangly!) usually windows 98 doens't like more
than 512mb ram either! I've googled it but i've not found a problem the same
anywhere. I think this is a case the windows team would like to know about
actually. the mobo is specifically designed for xp! Thanks for offering a
suggestion tho adam!
