agere systems ac97' modem device

I keep getting following signal:"the device driver for
the Agere systems AC'97 Modem device is preventing the
machine from entering standby. please close all
applications and try again. If problem persists you may
need to update this driver". manufacturer IBM (Lap top)
cannot help. pls assist
