System Standby Error

My system will not go into standby mode. It always shows
an error message "System Standby Failed."

The error has the following message:
"The device driver for the 'Agere Systems AC'97 Modem' is
preventing the machine from entering standby. Please
close all applications and try again. If the problem
persists, you may need to update this driver."

How do I make this go away.

Start with a search for google to see if you can locate manufacturers site.
Just key in agere.
