0x50 error during upgrade from 2000 Pro to Xp Pro

Here is the situation....

I am at a client doing an in-place upgrade from Windows 2000 Pro to
Windows XP Pro (against my suggestions of purchasing a new hard disk
and doing a clean install because of budget constraints). I booted up
Windows 2000 Pro, logged in as domain admin and inserted the XP Pro CD.
After inserting the Product Key and what not, it ran through the part
of setup it runs within Windows. It rebooted, went to the next section
where it basically copies files for the install and rebooted as it
normally would. Before it gets to the last part of setup (where it
detects hardware, network settings, etc), it BSODs with a 0x50
PAGE_FAULT_IN_NON_PAGED_AREA (0x00000050, 0xffffffe8, 0x0000000,1
0x804d917e 0x00000000). Here were my next steps:

1. Downloaded Memtest86 and ran it. Returned with no errors.
2. Replaced the 256MB chip in the system with a known good 512MB stick
of memory. Still the same BSOD.
3. Disabled all caching in the motherboard BIOS. Still the same BSOD.
4. Updated to the latest BIOS. Same issue.
5. Disabled the on-board video and used a known good AGP slotted video
card (ATi Radeon 7000 I believe). Same issue.

I'm kind of left in limbo. The system had been running fine for years
on it's setup in Windows 2000. I am curious if since Windows XP Setup
really hasn't run yet, if there is a way to get back to Windows 2000?
Changing of the boot.ini? Something that can be done in Recovery
Console? Or should I continue with my plan of making them purchase a
new hard drive and migrating data and user profiles over to the new
install?

Specs of the machine are below:
AMD AthlonXP 1800+
256MB Crucial PC133 RAM
Seagate 40GB IDE hard drive
ECS 741GX-M motherboard
56x CD-ROM
320W PSU

Try booting from the Windows XP installation CD and letting the
install run from there. There is no need to boot into Windows 2000
and log into the domain before installing the upgrade.
