2000pro to XP-Pro Upg CANNOT FIND FILE

upgrading 2000 pro to XP pro
did compatibility check all passed first
inserted CD, put in codes, it strated processing, picked Dynamic, it did
that part, first reboot though about 3 minutes into process as it restarts
windows to begin the upgrade I get the message
"Cannot find file netburn.sys...." cancelled setup

I went to look, netburn.sys is out in the directory setup created. I made
sure that directory was in "Path" statement jsut in case it needs that. Ive
tried about 15 times and it never gets further
very frustrating putting the code in and 2 min later craps out agaIN SAME
MSG SAME SPOT

computer is all by itself, not in an office, though it has netwrk
settings, everything works on 2000 pro before and after, jsut the xp pro
upgrade that says cant find the file, which is clearly there

HELP!

The system should not be online during the upgrade process. Then turn off
all virus checkers, spyware scans, firewalls, etc. Turn off any connected
printers, scanners, etc. Are you running the upgrade from within Win2000
Pro? (That is how it should be upgraded.)

I will try this, Norton was on, but the install procedure said to be
connected to the network, I will try with both off and see if that makes a
diff
