XP upgrade error---blue screen of death.........

What is it man?

Running Win 98 sec. ed. fine, but I'm trying to upgrade to XP home. It downloads the installation files and restarts, then it goes to a blue screen saying "A problem has been detected and windows has been shut down to prevent damage to your computer." A bunch more nonsene, then STOP: 0x0000007B (0xF7c7E63c,0xC0000034, 0x00000000, 0x000000000
