XP SP2 Setup Error

Attempt to upgrade Windows XP SP 2 from CD disc or
Windows Update. The error message says
"You do not have permission to upgrade Windows XP, please
contact your system administrator" while logging as
Administrator rights.

I also try to use Windows Update, and it failed to
updates.

I checked on Microsoft Support, but there are not
available relate to this problem. What can I do?
