XP shuts down critical services

Ive got a rather rare problem that I cannot figure out. On a Windows XP
(with all updates) laptop on an SBS 2003 R2 Domain, out of no where one of
the client laptops shortly after boot; it begins to shut down services. Many
of which include the DHCP service, the Browser service, Windows Firewall, and
MANY other auto start services just stop. So i went in and looked through
the processes, and couldnt find anything that looked like a virus or spyware
running. I then went into services.msc and restarted the critical services
again, but by the time i get to the bottom of the list the ones that i have
just started are already stopping again... Oh and when i get to the one that
says "Windows Firewall" it wont even start, it says "Access Denied".

Furthermore, i have run scans with Trend Micro, which is what i have
installed on the server. It has found nothing at all, nor has windows
defender. The only way i have been able to get rid of the problem was to do
a system restore to a date i knew it was working, but even after that 2 weeks
later it happens again.

Oh and one more thing, for no reason the start bar and other features in
windows will just go to the "legacy" look where windows looks like I'm back
in the Windows 2000 mode.. ANY help would be most appreciated. Thanks.

Please post copies of all Error and Warning Reports appearing in the
System and Application logs in Event Viewer for when the problem
occurs. No Information Reports please.

You can access Event Viewer by selecting Start, Control Panel,
Administrative Tools, and Event Viewer. When researching the meaning
of the error, information regarding Event ID, Source and Description
are important.

Part of the Description of the error will include a link, which you
should double click for further information. You can copy using copy
and paste. Often the link will, however, say there is no further
information.

A tip for posting copies of Error Reports! Run Event Viewer and
double
click on the error you want to copy. In the window, which appears is
a
button resembling two pages. Click the button and close Event
Viewer.Now start your message (email) and do a paste into the body
of
the message. Make sure this is the first paste after exiting from
Event Viewer.

I tried that, only the evenlog service gets shut down before it reports
anything... So i tried restarting the event log to see if it would record
anything, but it didn't and repeated attempts to gather information from
Windows has failed. The only thing i noted that I have 2 machines doing
EXACTLY the same thing, different networks, different locations, and both are
the same exact model Toshiba...
