XP restarts instead of shutting down.

Windows XP Pro SP1 restarts when I click shut down.

..I don't have any roxio program installed
..I also unchecked the Automatically restart option under Startup and
Recovery
..The event viewer doesn't show any error

My Computer:
Athlon XP 2200+
MSI KM2M
512mb ddr266 micron
Maxtor 80gb diamondmax plus 9
I also have a motorola sm56 fax modem PCI card installed

Enter your bios and turn off 'wake on modem' or 'wake on pci card'. This was
happening to me after I installed a modem on a XP machine.
