XP Pro SP2 freezeups/AVG anti-virus/computer won't shut off

Installed SP2 & began having freezeups on-line (dialup w/NetZero). Upgraded
motherboard bios switched to BellSouth DSL (no problem), upgraded AVG
anti-virus to newest version 7.0.3. Now computer will not shutdown (restarts
at shutdown and no I am not accidentally hitting restart), AVG will not scan
computer for viruses but email scan works properly, and computer freezes up
(doesn't matter whether I'm on-line or not). Ad-Ware will not do a deep scan
without freezing up. Have uninstalled AVG (still freezes up). Tried
tweeking firewall settings to no avail. Ready to uninstall SP2 and just not
upgrade to it. The AVG upgrade works fine on my laptop which is running ME.
Any suggestions?

Disable automatic restart on system failure (on SP2): Press F8 on restart, and see the menu item to disable auto restart. Shutdown,
and when the STOP message appears, record information needed for further troubleshooting.

I'll try that when I get home tonight. I've already uninstalled SP2 and that
has stopped the freezeups entirely. I think it is my display adapter that is
causing the shutdown problem at this point as I tried to hibernate the system
last night and received that as an error message.
