xp installation. missing dll?

hi guys

when loading windows xp from operation system installation cd
receive the following message

the option to upgrade will not be available at this time because setu
was unable to load the file D:\i386\WINNTUPG\NETUPGRD.DL
the system can not find the specified file

the only option is new installation

any help would be greatly appreciated
