please help reinstalling windows xp?

hi guys

i want to reinstall windows xp however i get the following message

the option to upgrade will not be available at this time because setu
was unable to load the file D:\i386\WINNTUPG\NETUPGRD.DL

the system can not find the specified file

please help. how can this be fixed
