XP Pro registered to demo, how do I change and input new serial nu

Hi

Hope someone can help.
We've got XP Pro but its registered to demo with a serial number.
We've now bought an oem version of XP Pro, how do we make the new version
active without overwriting the hdd.
If we run setup from cd, it comes up with option to upgrade not avail at
this time because setup was unable to load the file
i386\winntupg\netupgrd.dll.
Is there a w ay round this.
