Trouble upgrading Home to Pro

Went to upgrade this morning and received this message cannot complete
upgrade. Cannot find file specified. d:\j386\WINNTUPG\NETUPGRD.DLL
Any help with this would be greatly appreciated. Thanks.
 
i386 is located on your boot drive, "C" drive under C:\i386 or
C:\windows\i386
 
So, this this end up working when you select the file on your local drive
versus the one on the CD?
