XP Home won't shutdown or restart

amd duron 950mhz
256mb ram
running windows xp home

system will not shutdown or restart by
pressing "start", .. "turn off computer" .. etc

it will shut down doing the above if you hold down
the "Control" key and release it just after hitting
shutdown or restart.... and
it will shutdown by pressing the power button

everything else seems to work ok

any help is greatly appreciated.

In most cases you have an "open loop" condition,usually eliminating
pci cards one at a time will find which one that is creating the hardware conflict.
