XP Home to Pro upgrade

I have a machine with XP home I want to upgrade to Pro. When I boot it off
the Pro CD, to do a clean install, it allows me to do so, loads a bunch of
drivers and files and then "set up is starting Windows"
appears...............then the blue screen of death.

'a problem has been detected and Windows has been shut down to prevent
damage to your computer'

The Xp Pro CD was used to upgrade my old machine - and worked fine

The new machine is a Dell XPS Gen 5

any ideas appreciated - I would really like to do a clean install of Pro and
get rid of the 2,547,765 things they put on the machine.

FYI - the Dell did come with a XP Home CD. When I posted a while back about
buying the machine, many, including the Dell sales rep, said it wouldn't
have the CD.

The old machine is no longer in service - pretty much a parts heap<G>

This might be against the EULA (or at least the spirit of it).
Please check.
