I recently upgraded 3 Dell Dimension 2400 from XP Home to XP Pro with the
retail upgrade. I was able to perform a clean install without needing any
extra media. Boot from the XP Pro upgrade CD. You will be asked if you want
to use the existing Windows installation. Pick do not use this installation.
At the screen asking where to install you will be able to delete then
recreate, then format the partition with XP Home on it. Be careful not to
delete the Dell diagnostic partition. Please note I cannot remember the
exact wording of the screens displayed but the process was self explanatory
if you have installed XP in the past are are familiar with the terms used.
Using this method you lose all the Dell supplied programs including all the
crapware :) You would also be well advised to download the appropriate
drivers and burn them to a CD before you start the process. Other models of
Dell particularly models with SATA hard drives may not be so painless to
upgrade.

It doesn't happen often that Malke is wrong, but I believe she is in this
case. As far as I know, when you do an upgrade, the upgrade can't even tell
whether the version you're upgrading from was installed from a retail CD or
an OEM one.

It is a confusing issue. Frequently, in the time frame just before a
new operating system is about to be released, an OEM will offer its
products with the current OS installed, along with a coupon/voucher for
a free (or greatly reduced) upgrade to the new OS that's about to be
released. The OEMs do this in the hopes that potential customers won't
delay making a purchase, just to wait for the newer operating system.
For instance, in the late summer of 2002, some OEMS sold computers with
WinMe or Win2K installed, and a coupon/voucher for the free upgrade to
WinXP. When WinXP was released, these coupons/vouchers could be used by
the consumers to obtain special, very limited edition, OEM Upgrade CDs.
(The same thing took place just before Win2K was released, and
businesses still had to purchase PCs with WinNT installed.) These CDs
were very limited in quantity, and were only distributed to those
consumers who chose to redeem the coupons/vouchers. They were also
usually BIOS-locked, just like the original OEM installation CDs.

I don't usually bother to mention these OEM Upgrade CDs, as they are
quite rare, and I feel that mention of this one exception to the normal
state of affairs can cause more confusion.

XP Home will be supported by MS for at least 3 years after dec/31/2006
