Windows XP upgrade from windows 2000

I am trying to upgrade W2K to XP pro. After the device files are downloaded
from the CD ROM, The computer tries to reboot but simply brings up a message
that the boot process has failed. I have tried going through the process
several times with no success. Any suggestions greatly appreciated.

I know this doesn't say Win 2K but it has to be similar
