Windows XP Pro Upgrade Blue Screen Stop Install Error

I have a new out of box Dell with XP Home installed, I
went to Windows update and checked, no update needed.
Started Pro. XP install. About 3/4 into it BAM "problem
detected windows has shut down.. BAD_POOL_CALLER"
Folloed by If first time start up again, I did same thing.

Next - Disable BIO memory options such as caching or
shadowing. Start in safe mode....
