windows installer 3.1

I have a XP Pro SP2 machine that will not install the Windows Installer 3.1.
When I download it and attempt to install it, I get a STOP: 0x0000008E
0xC00000005 error and then I must reboot. I tried to go thru Windows Update
to install it also, but now I have to leave automatic updates off on my PC
because everytime I turn it on now, it tries to install the 3.1 installer and
then I get the STOP error again. Please help. What can I do to fix this?

I've tried both suggestions....and still the same problem exists. I thought
that maybe if I re-installed SP2 that would perhaps fix the issue, but when I
try to launch the exe for SP2 I get the exact same STOP error. What else can
I do?
