Does anyone know why the - tools - media tools menu is
grayed out?

It is this way on all of the 2000 and 2003 servers where
I work.

Any help would be greatly appreciated.

What are you trying to accomplish?

Right-click My Computer and Press Manage.
Use the Removable Storage applet to manage media.
